These Terms & Conditions (“Terms”) govern your access to and use of CreativeGenius.shop, ClaudeHamilton.com, and all Services, programs, products, and design work provided by Creative Genius Studios, LLC (“Company”). By using the Site or purchasing any Service, you agree to these Terms.

 

“Company,” “we,” “us,” and “our” refer to Creative Genius Studios, LLC.

“You,” “client,” “user,” and “customer” refer to all visitors, purchasers, and users.

 

 

 

1.  USE OF THE SITE & ELIGIBILITY

You must be at least 18 years old and able to enter legally binding agreements. By using the Site, you agree that all information provided is accurate and lawful.

 

We reserve the right to refuse service or terminate access at any time.

 

 

2. ACCOUNT CREATION

 

If you create an account, you agree to:

 

• Provide accurate information

• Maintain confidentiality of your credentials

• Be responsible for all activity under your account

• Not impersonate another individual

 

Unauthorized use must be reported immediately.

 

 

3. LAWFUL USE ONLY

You agree not to use the Site or Service:

 

• For unlawful purposes

• To violate intellectual property rights

• To upload harmful, defamatory, or abusive content

• To interfere with Site operations

 

Violations may result in termination of access.

 

 

4. PURCHASES, PAYMENTS & FEES

 

 

4.1 Payments

 

All payments must be completed at checkout unless otherwise stated.

 

 

4.2 Final Sale — No Refunds

 

All services, designs, templates, digital products, programs, and physical items are FINAL SALE.

No refunds, exchanges, credits, or transfers.

 

 

4.3 Chargebacks

 

If a payment is disputed or reversed:

 

• Work stops immediately

• All licenses are revoked

• You are responsible for chargeback fees

• We may pursue legal or collection action

 

 

4.4 Late Fees (for custom project invoices)

 

Invoices not paid within terms incur a 10% late fee every 14 days.

 

 

5. PROJECT PROCESS, REVISIONS & SCOPE

 

5.1 Revisions

Unless otherwise stated:

 

• Each deliverable includes up to 2 Free Revisions of revisions

  Additional revisions will be billed separately, $35

 

 

5.2 Scope Creep

 

Any new request outside the agreed scope (new layouts, new concepts, new formats, additional pages, re-designs, etc.) will incur additional fees.

 

 

5.3 Turnaround Times

Timelines depend on:

 

• Client responsiveness

• Submitted materials

• Company workload

 

Delays by the client automatically extend timelines.

Rush fees may apply for expedited services.

 

 

5.4 Client Responsibilities

Client must provide all content (copy, photos, brand assets, materials) in a timely manner.

Incomplete content may lead to rescheduling or project delays.

 

 

 

6. INTELLECTUAL PROPERTY OWNERSHIP

 

 

6.1 Ownership of Final Deliverables

Upon full payment, you receive a limited, non-exclusive, non-transferable license to use the final delivered file(s) only for the specific intended purpose (see Section 17).

 

You do not receive:

 

• Source files

• Working files

• Unused concepts

• Drafts

• Raw design assets

 

Source files may be available for purchase separately if offered.

 

 

6.2 Company Ownership

Creative Genius Studios® retains full ownership of:

 

• All source files

• Creative concepts

• Working files

• Drafts, sketches, and processes

• Proprietary design methods

• Unused designs

 

 

6.3 Portfolio Use

You grant Creative Genius Studios® permission to display completed designs in:

 

• Our portfolio

• Social media

• Marketing materials

• Case studies

 

Confidential information will not be disclosed.

7. CLIENT-SUBMITTED MATERIALS

You confirm that any logos, text, images, trademarks, or materials submitted to us:

 

• Are owned or properly licensed by you

• Do not infringe any third-party rights

• Are legally permissible for use

 

You agree to indemnify us against claims related to your materials.

 

 

8. PRODUCT DESCRIPTIONS

 

While we aim for accuracy, we do not guarantee that product descriptions, pricing, or availability are error-free.

We may correct errors and refuse or cancel incorrectly priced orders.

 

 

 

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Creative Genius Studios® is not liable for:

 

• Lost profits

• Business interruptions

• Data loss

• Indirect or consequential damages

• Errors, delays, or misuse of deliverables

 

Total liability is limited to the amount paid for the service.

If no payment was made, liability is limited to $100.

 

 

10. THIRD-PARTY LINKS

We are not responsible for third-party websites or platforms linked from our Site.

Use at your own risk.

 

 

11. INDEMNIFICATION

You agree to indemnify and hold Creative Genius Studios® harmless from claims arising out of:

 

• Your use of the Site or Service

• Your submitted materials

• Your violation of these Terms

 

 

12. CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Site constitutes acceptance of updated Terms.

 

 

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Georgia.

Any legal action will take place exclusively in DeKalb County, GA.

 

Mediation is required before litigation or arbitration.

 

 

14. SEVERABILITY

If any provision is found unenforceable, the remainder of the Terms remain valid.

 

 

15. ASSIGNMENT

You may not transfer or assign these Terms.

We may assign rights to successors or affiliates.

17. LICENSED USE OF DELIVERABLES (PERMITTED & RESTRICTED USE)

This section ensures correct client usage of designs.

17.1 Permitted Use

 

You may use the final delivered design ONLY for the specific purpose it was created for, as described in:

 

• The project agreement / project request

• The purchase description

• The file title or usage notes

 

Examples:

 

• A “flyer design” may only be used as a flyer

• A “social media graphic” may only be used on social media

• A “logo” may only be used for business identity, not merchandise

 

Unless explicitly stated otherwise, all usage is single-purpose.

 

 

17.2 Restricted Use

 

You MAY NOT:

 

• Repurpose the design for a new format (example: turning a flyer into a billboard)

• Alter, edit, or modify the design

• Extract design elements

• Use the design for merchandise or apparel

• Use the design for packaging, books, or physical products

• Convert the design for commercial resale

• Share, resell, redistribute, or transfer the deliverable

• Provide the deliverable to another designer or third party to edit or reuse

 

Any new usage requires a new license, new terms and new invoice

 

 

17.3 New Usage Requires a New License

 

Any repurposing or redistribution requires:

 

• Written permission from Creative Genius Studios®

• Payment of applicable licensing or usage fees

• A new agreement

 

 

17.4 Violations

 

Unauthorized use will result in:

 

• Immediate revocation of your license

• A requirement to remove all infringing uses

• Additional licensing fees

• Potential legal action
